Terms of Service

Welcome to New Baby HQ. These Terms of Service ("Terms") are a binding agreement between you ("you" or "your") and New Baby HQ ("New Baby HQ," "we," "us," or "our") and govern your access to and use of the New Baby HQ website, applications, and related services (together, the "Service").

Please read these Terms carefully. By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Important: no medical advice

New Baby HQ is a tracking and organization tool only. It is not a medical device and does not provide medical advice, diagnosis, treatment, or professional health care of any kind.

• Nothing in the Service should be interpreted as medical, health, nutritional, or professional advice.
• Information, summaries, predictions, reminders, patterns, and articles provided by the Service are for general informational and organizational purposes only, may be inaccurate or incomplete, and should never be relied upon to make health decisions.
• Always seek the advice of your pediatrician or another qualified health provider with any questions about your child's health, feeding, development, or care. Never disregard or delay seeking professional advice because of something you saw in the Service.
• In a medical emergency, call your local emergency number (such as 911 in the United States) or contact your doctor immediately. Do not rely on the Service in an emergency.

You are solely responsible for any decisions you make based on your use of the Service.

2. Eligibility and accounts

• You must be at least 18 years old (or the age of majority where you live) and the parent or legal guardian of, or otherwise authorized to record information about, any child whose information you enter.
• You agree to provide accurate information and to keep your account credentials secure. You are responsible for all activity that occurs under your account.
• You may invite caregivers to share access to a child's records. You are responsible for who you invite and for ensuring you have the right to share that information with them.

3. Pricing: free today, paid features may come later

The Service is currently offered free of charge. We are glad to provide it that way, but please understand:

• We reserve the right to introduce paid plans, subscriptions, premium features, or other charges in the future, and to change, limit, or discontinue any free features at any time.
• We are under no obligation to maintain a free tier indefinitely.
• We will not charge you a fee without first giving you notice and obtaining your agreement to the applicable paid terms. If you do not wish to pay for a feature that becomes paid, you can simply continue using the free portions of the Service (if any) or stop using the Service.
• Any future fees, billing cycles, refunds, and cancellation terms will be described at the point of purchase and incorporated into these Terms.

4. Your content and data

• You own the information you enter. As between you and us, you retain all rights to the data, notes, and other content you submit ("Your Content").
• You grant us a limited, non-exclusive, worldwide license to host, store, copy, transmit, process, and display Your Content solely as necessary to operate, maintain, secure, back up, and provide the Service to you and the caregivers you authorize.
• You are responsible for Your Content and for having the rights necessary to submit it.
• Backups and retention. We take reasonable steps to keep the Service running, but we do not guarantee that data will never be lost. You are encouraged to keep your own records of anything important. The Service is offline-capable, and some data is stored locally on your device.
• Deletion. You may delete your data or request account deletion by contacting us at [email protected]. Some information may persist in backups for a limited period or where required by law.

5. Privacy

We collect and store the information you provide and a limited amount of technical information needed to run the Service. Optional analytics, if any, are consent-based and can be declined. We use trusted third-party providers (such as hosting, database, and content-delivery services) to operate the Service, and your data is processed by them on our behalf. 6. Acceptable use

You agree not to:

• use the Service for any unlawful, harmful, or fraudulent purpose;
• attempt to access accounts, data, or systems that are not yours;

• reverse engineer, decompile, scrape, or attempt to extract source code or data except as permitted by law;
• resell, sublicense, or commercially exploit the Service without our written permission; or
• upload malicious code or content that infringes the rights of others.

We may suspend or terminate access for any violation of these Terms.

7. Intellectual property

The Service, including its software, design, text, graphics, logos, and content we provide (excluding Your Content), is owned by New Baby HQ or its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial use in accordance with these Terms. All rights not expressly granted are reserved.

8. Third-party services and links

The Service relies on third-party providers and may contain links to third-party websites or resources. We do not control and are not responsible for third-party services, their content, or their practices. Your use of any third-party service is at your own risk and subject to that third party's terms.

9. Changes to the Service

We are continually improving the Service. We may add, change, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable to you or any third party for doing so.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT ANY INFORMATION, REMINDER, OR PREDICTION WILL BE ACCURATE, TIMELY, OR COMPLETE. YOU USE THE SERVICE AT YOUR OWN RISK.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL NEW BABY HQ OR ITS OWNERS, EMPLOYEES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) USD $50.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited under applicable law.

12. Indemnification

You agree to indemnify and hold harmless New Baby HQ and its owners and employees from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, Your Content, or your violation of these Terms or any law or the rights of a third party.

13. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access at any time, with or without notice, including if we believe you have violated these Terms. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will survive.

14. Governing law and disputes

These Terms are governed by the laws of the United States and the state or jurisdiction in which the operator of New Baby HQ is based, without regard to conflict-of-law principles. Before filing any claim, you agree to first contact us at [email protected] and attempt to resolve the dispute informally in good faith. Any dispute not resolved informally will be brought exclusively in the courts located in that jurisdiction, and you consent to their jurisdiction and venue.

15. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date on this page and, for material changes, take reasonable steps to notify you. Your continued use of the Service after changes take effect means you accept the updated Terms. If you do not agree, please stop using the Service.

16. Miscellaneous

• Entire agreement. These Terms are the entire agreement between you and us regarding the Service and supersede any prior agreements.
• Severability. If any provision is found unenforceable, the rest remains in effect.
• No waiver. Our failure to enforce any provision is not a waiver of it.
• Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
• Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
